Marketplace Services Agreement

Business-facing agreement governing Platform services, payment facilitation, marketplace access, and support tools.

Important: The Delivery Truck is a technology marketplace. Unless a separate written agreement says otherwise, The Delivery Truck, Inc. does not provide delivery, moving, transportation, carrier, freight, household-goods, warehousing, packing, or labor services. Customers and independent drivers/service providers contract directly with each other.

Platform Services Only

The Delivery Truck, Inc. operates The Delivery Truck website, web app, mobile applications, administrative tools, payment interfaces, communications tools, referral tools, and related technology features (collectively, the "Platform"). The Platform is designed to help customers identify and communicate with independent third-party drivers, delivery providers, moving providers, helpers, or other service providers who may choose to offer delivery-related services ("Drivers" or "Service Providers").

The Delivery Truck, Inc. is not a motor carrier, common carrier, household goods mover, freight forwarder, broker, moving company, delivery company, employer of Drivers, insurer, guarantor, or bailee of property, except to the extent a nonwaivable law expressly imposes a different status. The Platform provides technology, listing, communications, payment facilitation, support, dispute intake, and recordkeeping tools only.

When a Customer requests or books a job, the delivery, hauling, loading, unloading, placement, packing, assembly, disassembly, route selection, equipment selection, labor, handling, and completion of that job are provided by the selected Driver or Service Provider, not by The Delivery Truck, Inc. The Customer and Driver form a direct service contract with each other.

Services Provided by the Platform

  • Account creation and profile tools.
  • Request, quote, listing, matching, scheduling, and status tools.
  • Messaging, photo, document, notification, and support-ticket tools.
  • Payment facilitation through third-party processors.
  • Administrative, safety, fraud, dispute-intake, referral, marketing, analytics, and recordkeeping tools.

Services Not Provided by the Platform

  • Physical delivery, moving, hauling, packing, loading, unloading, assembly, installation, storage, warehousing, or labor.
  • Insurance underwriting, insurance brokerage, claim adjustment, or claim payment.
  • Professional verification of Driver licenses, permits, legal authority, insurance coverage, or equipment suitability for a Customer's specific job.
  • Employment, payroll, supervision, dispatch employment, or guaranteed Driver availability.

Third-Party Services

Payment processors, Firebase/Google services, map providers, messaging providers, email/SMS providers, app stores, hosting providers, analytics providers, background-check vendors, and other vendors may have separate terms. The Delivery Truck, Inc. is not responsible for third-party outages, decisions, fees, or policies.

Fees and Taxes

Platform fees may be charged to Customers, Drivers, subscribers, advertisers, partners, or other users. Users are responsible for applicable taxes unless the Platform expressly collects a tax as required by law.

Limitations

To the maximum extent permitted by law, The Delivery Truck, Inc. disclaims liability for acts or omissions of Customers, Drivers, helpers, subcontractors, retailers, sellers, property owners, building managers, payment processors, mapping providers, communications providers, app stores, or other third parties.

Property damage, cargo loss, theft, personal injury, traffic violations, parking violations, premises damage, item suitability, loading decisions, route decisions, missed delivery windows, customer-driver disputes, and insurance claims are matters between the Customer and Driver unless a nonwaivable law states otherwise.

To the maximum extent permitted by law, The Delivery Truck, Inc.'s total liability for any claim relating to the Platform or a job will not exceed the greater of the Platform fees paid to The Delivery Truck, Inc. for the specific job giving rise to the claim or one hundred dollars ($100), excluding amounts collected on behalf of a Driver, taxes, tips, third-party charges, or amounts prohibited from limitation by law.

Order of Documents

If multiple legal documents apply, the most specific document controls for its subject matter. Nonwaivable law controls over conflicting terms only to the required extent.
