Independent Service Provider Agreement

Important: The Delivery Truck is a technology marketplace. Unless a separate written agreement says otherwise, The Delivery Truck, Inc. does not provide delivery, moving, transportation, carrier, freight, household-goods, warehousing, packing, or labor services. Customers and independent drivers/service providers contract directly with each other.

Purpose

This Independent Service Provider Agreement applies when a Driver or Service Provider uses the Platform to identify Customers and provide delivery-related services directly to those Customers. It is intended to confirm that the Driver operates independently and is not an employee of The Delivery Truck, Inc.

No Employment Relationship

Drivers are independent businesses or individuals who choose whether to use the Platform. Drivers are not employees, agents, franchisees, joint venturers, partners, representatives, or legal delegates of The Delivery Truck, Inc. No Driver may represent that they are employed by The Delivery Truck, Inc. or authorized to bind The Delivery Truck, Inc.

Drivers decide whether to accept or decline job opportunities, what vehicle and lawful equipment to use, whether to use helpers or subcontractors where permitted, how to perform the work, what lawful route to take, how to secure items, and whether the job is within their capability, subject to applicable law, Customer instructions, safety rules, and marketplace eligibility standards.

Drivers are solely responsible for taxes, licenses, permits, vehicle ownership or leasing, maintenance, fuel, tolls, parking, citations, insurance, workers' compensation if required, helpers, tools, equipment, safety practices, business expenses, and legal compliance.

Nothing in this Agreement gives The Delivery Truck, Inc. the right to control the details, manner, means, route, equipment, staffing, hours, or business operations of the Driver, except for neutral marketplace rules intended to protect users, legal compliance, data integrity, safety, and payment processing.

Driver Business Representations

  • Driver is lawfully able to operate the vehicle and equipment used for accepted jobs.
  • Driver has or will obtain all required licenses, permits, authority, insurance, registrations, and tax accounts.
  • Driver can accept or decline job opportunities and may provide services to competitors or directly to other customers.
  • Driver bears the risk of profit or loss from jobs, expenses, equipment choices, insurance costs, business decisions, and customer relationships.

Customer Contract

Each accepted job is a contract between Driver and Customer. Driver is responsible for communicating job scope, confirming details, and resolving performance issues directly with the Customer, subject to Platform payment and dispute rules.

Taxes and Records

Driver is responsible for keeping business records and paying all taxes, including income, self-employment, payroll, sales, use, excise, local, or other taxes where applicable. The Delivery Truck, Inc. may issue IRS Form 1099 or other tax documents if legally required.

Insurance and Claims

Driver must maintain insurance adequate for Driver's operations and accepted jobs. Any document uploaded to the Platform is Driver's representation; The Delivery Truck, Inc. does not certify that coverage applies to any particular job. Driver is responsible for claims arising from Driver services.

Confidentiality and Platform Data

Driver may receive Customer addresses, messages, item photos, phone numbers, gate codes, receipts, and job details only for the job. Driver may not use or disclose such information for unrelated marketing, harassment, off-platform solicitation, data scraping, or any unlawful purpose.

Survival

Payment obligations, tax obligations, confidentiality, indemnity, dispute resolution, intellectual property, records, and liability provisions survive termination of Platform access.
